End-User License Agreement

This End-User License Agreement (the "Agreement") governs your access to and use of Captyse (the "Software"). By downloading, installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software. Captyse is proprietary commercial software — it is not open-source or free software.
1. Definitions
"Licensor" means Captyse LLC (in formation) and its successors. "You" means the individual or entity that has obtained a valid license. "License Key" means the credential issued to you granting access. "Edition" means the tier of license you purchased (e.g. Academic, Professional, Founder, Team/Enterprise).
2. Grant of license
Subject to your payment of applicable fees and continuous compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable (except as expressly permitted for the Founder and Enterprise editions), revocable license to install and use the Software for the number of seats associated with your Edition. A Founder (Lifetime) license grants use of the Software, including future major versions, for as long as this Agreement is not terminated.
3. Restrictions
You may not, and may not permit any third party to: (a) copy, distribute, sublicense, rent, lease, sell, or make the Software available to any third party except as expressly permitted; (b) reverse-engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law; (c) remove, alter, or obscure any proprietary notices; (d) circumvent or disable any license-enforcement, activation, or security mechanism; or (e) use the Software to build a competing product. Possession of a copy of the Software or its repository does not grant any of the rights above.
4. Ownership
The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. All rights not expressly granted are reserved.
5. Third-party components
The Software may load third-party hardware drivers (e.g. EuroSmart/Sysam SP5, SYSAM-V6, Campus; FTDI D2XX; National Instruments NI-DAQmx) at runtime from your own installation on a "bring your own driver" basis; those drivers are the property of their respective owners, are governed by their own licenses, and are never bundled with or redistributed by the Software. Certain third-party runtimes required for operation (e.g. Intel OpenMP) are redistributed under their respective licenses.
6. Early Access
The Software is provided during an "Early Access" period. It is production-capable but under active development; features may change, and some capabilities are planned or in preview. Your Edition includes all updates through version 1.0. Early-Access pricing is locked for the duration your license remains active.
7. Updates and support
Licensor may, but is not obligated to, provide updates, upgrades, or support. Where an Edition includes support or updates, they are provided as described at the time of purchase. Updates are subject to this Agreement unless accompanied by separate terms.
8. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. You are responsible for validating results for your particular use. The Software is not certified for safety-critical, medical, or life-support applications.
9. Limitation of liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT. Licensor's total aggregate liability shall not exceed the amount you paid for the license in the twelve (12) months preceding the claim.
10. Termination
This Agreement is effective until terminated. It terminates automatically if you breach any term. Upon termination you must cease all use and destroy all copies of the Software. Sections 3–5 and 8–11 survive termination.
11. Governing law
This Agreement is governed by the laws of the jurisdiction in which Licensor is organized, without regard to conflict-of-laws rules. This document is a template provided for transparency and does not constitute legal advice; the definitive terms are those presented at the point of sale.
